Trong phiên họp HĐQT ngày 21/08/2024, chức danh 3 thành viên HĐQT của CTCP SJ Group đã có sự thay đổi, bao gồm Chủ tịch HĐQT.
Cụ thể, ông Đỗ Văn Bình không còn giữ chức Chủ tịch HĐQT SJS nhiệm kỳ 2020-2025 kể từ ngày 21/08. Thay vào đó, ông Bình được bổ nhiệm làm Phó Chủ tịch HĐQT Công ty trong cùng ngày. Tại cuối năm 2023, ông Bình đang là cổ đông lớn thứ hai của SJS với tỷ lệ sở hữu 7.81%.
Người thay thế ông Bình là ông Bùi Quang Bách, từ chức danh Thành viên HĐQT được bầu làm Chủ tịch HĐQT SJS nhiệm kỳ 2020-2025.
Cuối cùng là ông Phương Xuân Thụy, được bổ nhiệm làm Phó Chủ tịch HĐQT Công ty. Trước khi được bổ nhiệm, ông Thụy là Thành viên HĐQT.
Theo các báo cáo của SJS, cả 3 thành viên HĐQT trên đều đồng thời giữ chức vụ quan trọng tại nhiều đơn vị khác.
Trong đó, tân Chủ tịch Bùi Quang Bách đang là Thành viên HĐQT tại CTCP Chứng khoán Quốc Gia (NSI) và CTCP SAM HOLDINGS (HOSE: SAM), Thành viên HĐQT độc lập CTCP Tasco , Phó Chủ tịch HĐQT CTCP DNP Holding D.
Ông Thụy cũng liên quan đến SAM khi đang là Phó Chủ tịch HĐQT của công ty này. Ngoài ra, ông còn đồng thời là Thành viên HĐQT tại CTCP Công viên nước Đầm Sen D và CTCP Dịch vụ Du lịch Phú Thọ (cổ đông lớn nhất của DSN), Chủ tịch HĐQT CTCP Sacom Tuyền Lâm (công ty con của SAM), Chủ tịch HĐQT kiêm Tổng Giám đốc CTCP Đầu tư Infinity Group.

Cụ thể, Công ty bổ nhiệm ông Nguyễn Việt Cường giữ chức quyền Tổng Giám đốc kiêm người đại diện pháp luật, thay thế cho ông Đỗ Trọng Quỳnh từ ngày 15/07. Đáng chú ý, ông Cường chỉ vừa tham gia Ban Tổng Giám đốc SJS được 1 tháng (từ ngày 14/06/2024).

Lãnh đạo SAM giữ chức Chủ tịch HĐQT SJS

Ngày 20/08, CTCP Đầu tư và Phát triển Hạ tầng An Việt đã thực hiện mua lại trái phiếu mã AVICH2124001 với giá trị 76.3 tỷ đồng. Trước đó, Công ty cũng đã có 2 lần mua lại trước hạn trái phiếu này vào ngày 07/12/2022 và 30/12/2023 với giá trị lần lượt 89.1 tỷ đồng và 13 tỷ đồng. Theo đó, sau 3 lần mua lại trước hạn, hiện dư nợ trái phiếu mã AVICH2124001 chỉ còn 1.5 tỷ đồng.
Được biết trái phiếu phát hành ngày 18/11/2021, kỳ hạn 36 tháng, đáo hạn vào 18/11/2024. Tài sản bảo đảm là 59ha đất tại huyện Lương Sơn, tỉnh Hoà Bình; 25,044,000 cổ phần CTCP Sacom Tuyền Lâm và quyền tài sản phát sinh từ hợp đồng góp vốn vào CTCP Việt Hoàng Sơn.
Ông Nguyễn Kháng Chiến hiện Chủ tịch HĐQT các doanh nghiệp như CTCP Bất động sản Điện lực Miền Trung L, CTCP PPC An Thịnh Đà Nẵng, CTCP Quốc tế Nam Hội An, CTCP Đầu tư và Phát triển Hạ tầng PPC An Thịnh Việt Nam; Tổng Giám đốc/Giám đốc các doanh nghiệp gồm Công ty TNHH Lemony Hà Nội, Công ty TNHH Đầu tư Phát triển và Xây dựng Việt Trung; Công ty TNHH Đầu tư PT Đoàn Linh Gia.
CTCP Đầu tư và Phát triển Hạ tầng An Việt thành lập năm 2014; vốn điều lệ ban đầu 100 tỷ đồng, trong đó CTCP Đầu tư Toàn cầu nắm 45%, ông Nguyễn Kháng Chiến (Chủ tịch HĐQT) nắm 45%, ông Nguyễn Văn Phương 5%, bà Nguyễn Thị Minh Phượng 5%.
Tháng 09/2016, Toàn cầu thoái hết vốn và bên thay thế là CTCP Sam Holdings . Được biết, SAM mua 45% vốn Hạ tầng An Việt với giá 52 tỷ đồng, sau đó SAM góp bổ sung 103.5 tỷ đồng trong đợt Hạ tầng An Việt nâng vốn từ 100 lên 330 tỷ đồng. Theo HNX, Công ty hiện có vốn điều lệ 500 tỷ đồng, ông Ngô Văn Chánh làm Tổng Giám đốc.
Liên quan tài sản bảo đảm cho trái phiếu cho thấy, CTCP Sacom Tuyền Lâm là công ty con của SAM nắm 64.09% vốn, và là chủ đầu tư dự án khu du lịch nghỉ dưỡng cao cấp tại khu du lịch quốc gia Hồ Tuyền Lâm, dự án có quy mô gần 195ha.
Còn CTCP Việt Hoàng Sơn, tiền thân là Công ty TNHH Việt Hoàng Sơn, vốn ban đầu 9 tỷ đồng với hai cổ đông sáng lập là CTCP Thương mại Việt Hoàng Sơn góp 90% và bà Lý Thùy Dương 10%. Thời gian Hạ tầng An Việt phát hành trái phiếu cũng là lúc Việt Hoàng Sơn đổi chủ và chuyển thành CTCP. Cụ thể, vốn tăng lên 90 tỷ đồng, trong đó bà Nguyễn Thị Dịu nắm 98.889%, ông Bùi Thành Việt 0.111%, ông Nguyễn Xuân Anh 1%. Tháng 05/2022, Công ty tăng vốn lên 270 tỷ đồng.
Vào cuối tháng 3 năm nay, SAM công bố quyết định thoái toàn bộ vốn góp tại Hạ tầng An Việt, số lượng cp chuyển nhượng là 8.91 triệu cp. Báo cáo tài chính quý 1 cho thấy SAM đã hoàn tất thương vụ này, giá trị đầu tư ghi sổ (theo phương pháp vốn chủ sở hữu) trước đó ghi nhận là hơn 82.7 tỷ đồng.

Không có gì bất ngờ khi doanh thu quý 2 của HUT gấp 20 lần quý 2/2023, đạt hơn 6.4 ngàn tỷ đồng; chủ yếu do có thêm 5.3 ngàn tỷ đồng từ mảng kinh doanh ô tô của công ty con, trong khi một năm trước không ghi nhận. Hoạt động thu phí - mảng kinh doanh truyền thống - mang về 322 tỷ đồng, tăng 17%.
Tuy nhiên, nếu so với con số hợp nhất quý 1/2024 thì doanh thu quý 2 tăng 24%, không chỉ nhờ hoạt động bán ô tô mà còn từ 775 tỷ đồng của mảng cung cấp dịch vụ, gấp đến 60 lần quý 1. Tương tự, doanh thu hoạt động tài chính khác gấp 30 lần, đạt 346 tỷ đồng. Chi phí quản lý doanh nghiệp 423 tỷ đồng, gấp 2.3 lần.

Hưởng lợi từ lợi nhuận khác 16 tỷ đồng giúp HUT báo lãi sau thuế gấp 6 lần quý cùng kỳ, hơn 60 tỷ đồng, nhưng chỉ 4.7 tỷ đồng thuộc về cổ đông công ty mẹ, giảm 50% và thấp nhất kể từ khi sáp nhập. Lãi ròng quý 1 hơn 26 tỷ đồng.
Lũy kế 6 tháng, doanh thu đạt 11.6 ngàn tỷ đồng, thực hiện được 50% kế hoạch. Trong khi đó, lãi ròng 31 tỷ đồng, mới đi được 14% chặng đường cả năm.

Cuối tháng 6/2024, tổng tài sản HUT khoảng 27.2 ngàn tỷ đồng, không thay đổi nhiều so với đầu năm. Hơn một nửa tài sản ngắn hạn, khoảng 6 ngàn tỷ đồng, là các khoản phải thu. Doanh nghiệp đang sở hữu tài sản thanh khoản cao như tiền, các khoản tương đương tiền và đầu tư nắm giữ đến ngày đáo hạn tổng cộng 2.1 ngàn tỷ đồng, chiếm 20%.
Riêng phải thu ngắn hạn khác tăng thêm gần 1 ngàn tỷ đồng, lên 4.2 ngàn tỷ đồng, chủ yếu từ bên thứ ba nhưng không được thuyết minh cụ thể.
Nợ phải trả cuối kỳ hơn 15.6 ngàn tỷ đồng, trong đó một nửa là các khoản vay nợ ngắn hạn và dài hạn, lần lượt 3 ngàn tỷ đồng và 5.6 ngàn tỷ đồng, giảm không đáng kể. Phải trả khác bao gồm ngắn hạn và dài hạn lần lượt 2.7 ngàn tỷ đồng và 1.6 ngàn tỷ đồng.
Năm nay, lãnh đạo HUT nhận định khó khăn của ngành ô tô chỉ là tạm thời, trong dài hạn còn nhiều tiềm năng, do đó cần chuẩn bị nguồn lực để đầu tư mở rộng quy mô, tăng số lượng showroom và thương hiệu ô tô mới để đáp ứng nhu cầu giai đoạn tới.
HUT sẽ tiếp tục phát triển dịch vụ thu phí không dừng, trung gian thanh toán, ví điện tử VETC để cung cấp giải pháp giao thông cho các dịch vụ thanh toán xăng dầu không tiền mặt, thấu chi tài chính, thu phí sân bay, đỗ xe,… Nền tảng kinh doanh xe cũ đã qua sử dụng (Carpla) sẽ được đẩy mạnh.
Năm trước, cổ đông đã đồng ý để CTCP VII Holding của Chủ tịch HĐQT Vũ Đình Độ nhận chuyển nhượng một phần hoặc toàn bộ số cổ phần từ các cổ đông có tên trong danh sách hoán đổi cổ phần với CTCP SVC Holdings (nay là Tasco Auto) mà không cần thực hiện thủ tục chào mua công khai.
Công ty do ông Vũ Đình Độ làm Chủ tịch HĐQT kiêm người đại diện pháp luật, có thể thực hiện thành nhiều đợt qua khớp lệnh và/hoặc thỏa thuận, dự kiến sở hữu hơn 25% vốn cổ phần có quyền biểu quyết tại HUT. Dù vậy, báo cáo quản trị nửa đầu năm 2024 cho thấy VII Holding hiện chưa có động tĩnh nào về việc này, tỷ lệ sở hữu HUT cuối tháng 6 vẫn 0%.

Trong phiên giao dịch ngày 30/07/2024, HNX-Index giảm điểm cùng với khối lượng giao dịch có sự sụt giảm rõ rệt trong phiên sáng cho thấy tâm lý phân vân của các nhà đầu tư.
Bên cạnh đó, HNX-Index đang được nâng đỡ khá tốt bởi đường SMA 200 ngày trong bối cảnh chỉ báo MACD tiếp tục hướng đi xuống sau khi cho tín hiệu bán trước đó. Nếu tín hiệu bán được duy trì và chỉ số tiếp tục xuyên thủng vùng hỗ trợ này thì rủi ro điều chỉnh sẽ tăng cao trong các phiên tới.

Trong phiên sáng 30/07/2024, AAA bật tăng đồng thời xuất hiện mẫu hình nến Rising Window cùng với thanh khoản vượt mức trung bình 20 phiên cho thấy nhà đầu tư đang giao dịch khá sôi động.
Bên cạnh đó, giá cổ phiếu tiếp tục đà tăng sau khi test thành công đường Middle của Bollinger Bands trong bối cảnh chỉ báo MACD đang dần thu hẹp khoảng cách với đường Signal. Nếu tín hiệu mua xuất hiện trở lại sẽ càng củng cố thêm sức mạnh cho xu hướng tăng ngắn hạn của cổ phiếu.
SAM - CTCP SAM HOLDINGS
Trong phiên sáng 30/07/2024, SAM tăng kịch trần đồng thời xuất hiện mẫu hình nến White Marubozu cùng với khối lượng giao dịch có sự gia tăng mạnh trong phiên sáng và vượt mức trung bình 20 phiên cho thấy tâm lý lạc quan của các nhà đầu tư.
Bên cạnh đó, giá cổ phiếu cắt lên đường SMA 100 ngày trong bối cảnh chỉ báo Stochastic Oscillator cho tín hiệu mua trở lại tại vùng quá bán (oversold) cho thấy triển vọng lạc quan trung hạn đang dần hiện hữu.

Chứng khoán dài hạn vẫn hấp dẫn
Phiên giao dịch chứng khoán đầu tiên ngày 28-7-2000 với hai mã chứng khoán đầu tiên REE và SAM đã mở ra giai đoạn mới cho sự phát triển của ngành chứng khoán và nền kinh tế.
VN-Index vẫn loanh quanh ở vùng 1.200 - 1.300 điểm nhưng triển vọng của thị trường chứng khoán Việt Nam trong thời gian tới là tích cực
Ngày 29-7, đúng 24 năm kể từ phiên giao dịch đầu tiên của thị trường chứng khoán (TTCK) Việt Nam, VN-Index đạt 1.246 điểm, tăng khoảng 80 điểm so với cuối năm ngoái nhưng thua xa vùng đỉnh lịch sử 1.500 điểm lập vào tháng 4-2022.
Đã tạo đáy ngắn hạn?
Ông Nguyễn Thanh Lâm, Giám đốc phân tích, Công ty Chứng khoán Maybank, nhận định TTCK Việt Nam có một số hạn chế nhất định, như việc vẫn bị xếp vào nhóm thị trường cận biên trong khi hầu hết thị trường trong khu vực đã ở nhóm mới nổi. Điều này ở một chừng mực nào đó khiến đánh giá về thị trường Việt Nam bị hạn chế. Việc nâng hạng thị trường đang là một trong những ưu tiên cấp bách hiện nay.
Với VN-Index ở hiện tại, sau đợt điều chỉnh giảm từ vùng 1.300 điểm khiến nhiều nhà đầu tư thua lỗ, thị trường đang phục hồi nhưng dòng tiền mất hút cho thấy sự thận trọng và chưa tin tưởng của nhà đầu tư. Như phiên ngày 29-7, VN-Index tăng gần 5 điểm lên 1.246 điểm nhưng giá trị giao dịch trên sàn HoSE chỉ đạt hơn 11.300 tỉ đồng.
Ông Hồ Sỹ Hòa, Giám đốc Nghiên cứu và Tư vấn đầu tư, Công ty Chứng khoán DNSE, đánh giá thanh khoản thị trường yếu trong thời gian gần đây chủ yếu do tâm lý nhà đầu tư thận trọng sau đợt giảm mạnh, kết hợp với mùa công bố báo cáo kết quả kinh doanh quý II/2024. Nhà đầu tư đang quan sát và chờ đón báo cáo quý II để có đánh giá triển vọng của DN và đưa ra quyết định đầu tư cho giai đoạn nửa cuối năm. "Thị trường vẫn đang chịu áp lực từ đà bán ròng của nhà đầu tư nước ngoài. Do vậy nhà đầu tư tâm lý thận trọng quan sát khiến thanh khoản ở mức thấp" - chuyên gia này nêu quan điểm.
Là nhà đầu tư ngoại đã tham gia TTCK Việt Nam từ những ngày đầu, ông Dominic Scriven, Chủ tịch Dragon Capital, cho rằng trải qua 24 năm có thăng có trầm nhưng TTCK đã tạo ra rất nhiều giá trị cho đất nước Việt Nam, doanh nghiệp Việt và các nhà đầu tư ngoại. "Tôi nói chuyện với nhiều nhà đầu tư ngoại, họ nhìn Việt Nam như thị trường mới nổi như 100 triệu dân, năng động, chủ động, hiệu quả, đoàn kết, ổn định, đất nước phát triển… Và họ muốn được đầu tư vào Việt Nam. Nhưng nhiều quỹ khi nhìn vào danh sách các TTCK mới nổi lại không có tên Việt Nam khiến họ phần nào thất vọng. Đợt này, tôi đang thấy một quyết tâm rất lớn, rất nỗ lực của Bộ Tài chính và Ủy ban Chứng khoán Nhà nước để sớm nâng hạng thị trường" - ông Dominic Scriven nói.
Cơ hội trên thị trường luôn có
Ông Nguyễn Thành Trung, Giám đốc Tư vấn Đầu tư, Công ty Chứng khoán Thành Công, phân tích dù VN-Index vẫn loanh quanh ở vùng 1.200 điểm trong nhiều năm qua nhưng nhìn dài hạn cho cả chặng đường 24 năm, mức tăng trưởng mỗi năm của thị trường khoảng 11,5%-12% không phải là quá thấp. Thực tế, mức tăng này tiệm cận với những TTCK quốc tế đã hoạt động cả trăm năm như Mỹ, EU..
Nếu nhà đầu tư tham gia thị trường trong khoản 5-10 năm gần đây thì đúng là chưa bằng nhiều quốc gia khác do thị trường còn nhiều DN niêm yết thuộc nhóm ngành bất động sản, ít cổ phiếu ngành công nghệ. Trong khi những thị trường tăng kỷ lục thời gian qua đều liên quan đến cổ phiếu công nghệ… "Nhìn ở góc độ tích cực, thanh khoản đã tăng rất tốt, tăng nhiều lần so với những năm trước. Nếu trước đây chỉ loanh quanh 10.000 tỉ đồng/phiên vừa qua đã tăng lên 15.000 - 20.000 tỉ đồng, thậm chí những phiên giao dịch tỉ USD cũng rất nhiều. Nhà đầu tư nước ngoài cũng có rất nhiều sự lựa chọn DN trên sàn, nhiều DN quy mô lớn" - ông Nguyễn Thành Trung phân tích.
Theo các chuyên gia, dù thị trường Việt Nam hay thế giới đều có sự phân hóa giữa các nhóm, ngành cổ phiếu và luôn có cơ hội ở mọi giai đoạn. Nếu nhà đầu tư biết lựa chọn, vẫn có những cổ phiếu tăng trưởng cao hơn VN-Index nhiều lần, như cổ phiếu REE đã tăng gấp gần 30 lần sau 24 năm lên sàn.
TS Hồ Sỹ Hòa cho rằng áp lực vĩ mô đã hạ nhiệt so với 6 tháng đầu năm. Hiện tỉ giá đang thấp hơn khá nhiều so với thời điểm căng thẳng trong giai đoạn 6 tháng đầu năm. Sau khi các DN công bố kết quả kinh doanh quý II, cũng là thời điểm các nhóm cổ phiếu tái tích lũy, đợi xác nhận dòng tiền dẫn dắt thị trường.
Ngay như nhóm ngành ngân hàng, mới có một số ngân hàng công bố báo cáo tài chính, hầu hết đều có mức tăng trưởng tốt, trong số đó có Techcombank, LPBank có mức tăng trưởng lợi nhuận sau thuế hơn 39%, 241% so với cùng kỳ. "Thị trường kỳ vọng các ngân hàng còn lại, cũng như nhóm ngành ngân hàng sẽ có kết quả kinh doanh ấn tượng, từ đó hỗ trợ chỉ số VN-Index. Hai dòng tiền của tín dụng và giải ngân đầu tư công đang thực sự bài toán thách thức nhưng nếu trong nửa cuối năm tích cực sẽ là động lực hỗ trợ cho thị trường" - TS Hồ Sỹ Hòa nói.
Ông Nguyễn Thanh Lâm cũng nêu quan điểm những tiến triển vững chắc đang được thực hiện trong việc loại bỏ yêu cầu ký quỹ trước giao dịch (pre-funding). Đây là rào cản cuối cùng để Việt Nam được nâng hạng lên thị trường mới nổi. Kỳ vọng yêu cầu pre-funding sẽ được chính thức loại bỏ vào quý III/2024 và FTSE sẽ nâng hạng Việt Nam lên thị trường mới nổi vào tháng 9-2025. "Có thể đặt kỳ vọng bắt đầu từ giai đoạn cuối năm nay, sóng nâng hạng có thể xảy ra và giúp VN-Index có thêm động lực đi lên" - ông Nguyễn Thanh Lâm nói.
Theo ông Nguyễn Thành Trung, nhà đầu tư nước ngoài có thể giảm bán ròng từ cuối năm nay và 2 năm tới khi Cục Dự trữ Liên bang Mỹ (FED) bắt đầu giảm lãi suất và đồng USD yếu đi… Khi đó, dòng tiền sẽ quay lại những nước đang phát triển trong đó có Việt Nam. Chưa kể, Việt Nam đang có rất nhiều nỗ lực để gỡ nút thắt để nâng hạng trong năm 2025, khi đó dòng tiền từ khối ngoại sẽ trở lại.
